You are authorized to use and browse this website and its applications solely under the condition that you comply with all of the following terms and conditions of use in accordance with the terms set out herein:
1. General Provisions
1.1 These Terms and Conditions set forth the binding terms of use of the Da website (dadada.live) and its various applications on various digital platforms, including mobile devices and tablets (collectively, the "Site"). The Nadav Foundation (the "Foundation") owns and operates the Sites and applications developed therefrom (the "Applications")
1.2. As a regular user (the "User"), you may register on the Site in the designated manner. By properly registering, users will be able to store information they are interested in (all information on the Site is hereinafter referred to as "Information" or "Content"), which is owned by the Foundation.
1.3 The Site, at its own discretion, may allow users, taking into account the prohibitions and restrictions stipulated by the applicable Law and the present Terms, to post comments that include proprietary Content, such as links, audio files, videos, pictures, animations, illustrations, photos.
2. Access to Site and Registration
2.1. Use of any or all of the Content on the Site does not require mandatory registration. However, if registered, the User gets access to enhanced features and the option to receive personalized recommendations.
When registering, the User shall provide accurate data, and also shall immediately update the data in case of changes.
2.2 The User registration is carried out as follows:
(A) The User shall enter the necessary data into the online registration form which is designed for that purpose.
(B) The Foundation will check the registration data after the User completes the registration process. It shall send an electronic mail to the e-mail address specified by the User, confirming the registration.
2.3 To avoid any unauthorized use of the account, the User shall keep the password confidential and use his/her account in a safe and responsible manner. The password shall be kept private and shall not be disclosed or shared with any third party. The Foundation reserves the right to block access to the account in the event of suspected misuse of the account, or violation of the Terms of Use of the Site or any applicable law.
2.4 The User hereby releases the Foundation, including its representatives, members of its staff, managers and employees, from any liability associated and/or relating to registration and/or data collection that is not directly performed by the Foundation.
2.5 The Foundation may, at its own and absolute discretion, modify and/or change the manner in which the Content is made available, in whole or in part, as well as remove any Content or Information from the Site without storing it.
3 Use of Information
3.1 The Information is intended to be used only for personal and private purposes. The User may not transfer Information to third parties or initiate any other use of Information, irrespective of whether it is paid or not, without obtaining permission and written authorization from the Foundation.
3.2. The User hereby undertakes that the information shall not be used by him/her and/or other persons for generating profit and/or for any commercial or business purposes and/or in a manner that may cause damage to the Foundation, including the display and/or storage of information outside the Site, including on other Internet web sites or in any other media.
To avoid ambiguity, it is hereby clarified that the prohibition of commercial or business use of Information applies to all types of information on the Site, including Third Party Content and publications that are not owned by the Foundation.
3.3 Responsibility for proper use of Information rests solely on the User.
4. Terms of Use of the Site
4.1 The User undertakes to use the Site in accordance with the requirements of any applicable law, in compliance with the Terms of Use of the Site, set forth in these Rules, and to refrain from causing any harm to the Foundation and/or third parties.
4.2 The User undertakes while browsing the Site, by his/her behavior, actions, or inaction, not to violate directly and/or indirectly and not to contribute to the violation of contractual rights, intellectual property rights, copyrights, moral rights; not to publish slander, not to violate personal privacy and immunity of private life, not to publish any information prohibited by law.
4.3 User undertakes to refrain from collecting data regarding other users of the Site.
4.4 The User undertakes to fully refrain from any attempts to collect information about the Site, including by technological means aimed at scanning and/or copying and/or extracting and/or retrieving information, as well as to refrain from introducing and/or implementing changes to the Site, including user content and source code of the Site.
4.5. The User hereby declares that he/she is aware of the fact that the Foundation is entitled to take measures against any User who has violated the provisions of these Terms by all available legal means, including the transfer of his/her data to third parties.
5. User Data and User Content
5.1 The User shall not be obliged to provide the Foundation with any data other than that which is necessary for the purposes of registration on the Site.
5.2 Only the Foundation will be entitled to use the information provided by the User for the purposes of registration on the Site, for internal control purposes, and for communication with the User regarding the different features of the use of the Site. The Foundation shall use the information received from Users only lawfully in accordance with provisions of any applicable law.
5.3 The information and data received from the Site user are processed in accordance with the privacy policy, which is periodically updated and is part of the terms of use of the Sites. The User hereby agrees that the Foundation is authorized to release the data provided to it, in the event of a merger of the Foundation and/or the Site with another legal entity, subject to the terms of the Privacy Policy document, or as required by law or by competent authorities, or by an order, without prior notice or with the user's express further consent.
5.4 The User hereby declares that he/she is aware that the Foundation, including its agents, employees, officers and workers, shall not under any circumstances be liable for the quality, reliability, correctness, completeness, timeliness and legality of Users' content.
5.5 The Foundation may, at its own discretion, refuse to publish and/or delete and/or make changes to Users' content, in whole or in part, whether or not such changes have already been published, without the user's consent or prior notice, including due to violation and/or alleged violation of the terms of use, legal provisions or third party rights and/or due to orders of competent authorities and/or for technical reasons, including technological changes, even if back-up copies are not kept.
5.6. (A) By virtue of actually uploading the User content on the Site or the App, the User grants the Foundation and/or those acting on its behalf, an irrevocable and royalty-free license to use the aforementioned content in perpetuity.
(B) Uploading User Content to the Site does not terminate the copyright owners' rights over their content, but, as specified, grants the Foundation a nonexclusive license to use the content.
(C) The license used as stated above for User Content is granted without monetary compensation to the User, the license being global and unlimited in time, and including multiple uses of the content in any and all media, including future sites. The aforementioned license to use also includes authorizing the Foundation to grant secondary licenses, to perform any derivative work, including rewriting, editing, processing, summarising, translating, copying, storing, posting to the Internet and/or any other media, existing and/or future, all at the sole discretion of the Foundation, without the need to obtain User consent, and without providing any remuneration to the User. The uploading of User Content constitutes User's approval and consent that such content may be edited and/or altered in any way by the Foundation and/or by anyone on its behalf.
(D) The use of User Content will be subject to inalienable copyright, to the extent possible according to the information provided. If User is found to have failed to provide credit or to have provided incorrect credit, User should contact the Foundation regarding this issue immediately to allow the credit to be corrected, if indeed appropriate and possible.
6. Limited Warranty
6.1 The Foundation and the information providers shall use their best efforts to ensure that the information is as correct and accurate as possible, but notwithstanding the aforesaid, there may be a defect and/or error and/or inaccuracy in the information. The Foundation, including its agents, employees, officers, and workers, shall be immune from any liability in this regard. At the same time, if such errors are detected, the Foundation shall strive to correct them as quickly as possible.
6.2. The Site also contains various links to other sources and sites that are not owned or operated by the Foundation, including through promotional/partnership links and user content. It is clarified that the Foundation, including its agents, employees, and officers, assumes no responsibility for third-party content and/or any link, and/or publication, and/or information not published by the Site, including any content from sites linked to. Any use of third-party content and/or information from sources other than the Site shall be made at the sole and complete responsibility of the user.
6.3 The Foundation may place third-party partners' content on the Site, including announcements, banners, advertisements, pop-ups, etc. The User hereby releases the Foundation, including its agents, employees, managers, and workers from any liability related to the partner content not owned by the Foundation.
7. Intellectual Property
7.1 All rights regarding the Site, information, and content belong to the Foundation, except for third-party content over which the Foundation has rights of use.
The Foundation owns the rights to operate the Site and has full rights to the Site's operations, including the graphic features, layout style, developments, texts, images, photographs, illustrations, video, format, concept, symbols, and trademarks of the Site, databases, web site management and development systems, software, applications, and web site codes.
7.2 The User undertakes not to publish information and/or any part of it publicly. The User undertakes not to duplicate, photograph, copy and/or print any Content and/or display as specified above the information or any part thereof for the purpose of distribution or publication in any manner, and that the User will not assist others in doing so.
It is clarified that the information and/or Content on the Site may not be used for the purpose of creating and/or publishing a collection, compilation, summary or database or news.
7.3 The User undertakes not to make any changes to the information, including rewriting, editing, revising, summarising, translating, copying, storing, publishing, limiting or deleting the publication of the information or parts thereof, on the Internet and/or in any other media, existing and/or future, as well as not to allow others to use them, nor to create derivative works, nor to make deals and/or contracts with third parties using the Content or parts thereof.
7.4 No information or content from the Site, including video or audio, may be displayed by framing and/or in any other form or manner that is not a direct link to the original and complete web page of the Foundation.
7.5 Any copying, distribution, communication to the public, transmission or publication of information stored on the Site without a link to the Site, unless expressly permitted, is prohibited without the prior written consent of the Foundation. 8. Requests to the Site
Users wishing to cancel his/her registration or wishing to submit a complaint, and/or comment, and/or any query, shall do so by contacting the technical support desk via personal account or by email: admin@dadada.live.
The contacting user shall provide his/her full name and mailing address for contacting him/her, as well as any other relevant data in order to specify his/her application.
9. Additional Terms
9.1 The User agrees and acknowledges that the email address(es) provided on the Site as well as additional identification and contact information will be used by the Foundation to mail out various marketing content. The User will at all times be able to remove themselves from any of the mailing lists as set forth in each such mailing notification, and the User will have no claim against the Foundation for receiving such mailings.
9.2 The Foundation reserves the right to change the Terms of Use of the Site from time to time at its own discretion. Any such modification shall be binding on Users from the moment the updated Terms of Use are posted on the respective Site.
The User hereby understands that the Terms of Use will be updated from time to time, and will be binding upon the User from the time they are updated. The User undertakes to read the Terms and Conditions from time to time and to act in accordance with them.
9.3 Exclusive jurisdiction over any matter and dispute relating to the publication and/or use of the Site and/or the Applications, including the services provided by the Sites, will be the relevant court in Tel Aviv, which will hear the matter in accordance with the law of the State of Israel.
9.4 In accordance with Section 19 of the Limitation Law, 5718-1958, and as a separate written contract, an agreed limitation period of six (6) months from the date of publication or the event subject to a user request is hereby stipulated. In the event of subsequent publication, the limitation period shall commence from the date of the original publication. The User undertakes not to take any legal action against the Foundation after the expiry of the agreed limitation period.
9.5 The User agrees that the language of these terms and conditions shall not be construed narrowly against the Foundation in view of the frequent changes in the Internet and the Foundation's reliance on these terms and conditions. Any right not expressly granted to the User is reserved by the Foundation.
9.6 If any section of the Terms is found to be legally void and/or unenforceable, that section shall be deemed to be replaced by a legally enforceable section whose content is closest to the original section without affecting the binding and enforceable provisions of the other articles.
9.7. The Foundation may transfer these Terms and/or the rights and/or obligations contained in and/or deriving from them, in whole or in part, to an individual, corporation or any legal entity, including a parent company, subsidiary, related company, by transfer, sale, purchase, merger, division, consolidation, etc. without requiring prior notice or consent of the User.
9.8 Use of the Site and applications is conditional upon the User's consent to what is set forth in these terms and conditions. Use of the Site constitutes User's consent to these terms and conditions. The User hereby declares and confirms that he/she is aware of the terms of use of the Site and the applications and undertakes to act in accordance with them.
9.9. The Terms of Use of the Site and the applications are partly worded in the masculine form exclusively for convenience and apply to both men and women.
9.10. It is hereby made clear that only that which is stated in these Terms will be binding on the Foundation.
